End User Licence Agreement

This End User Licence Agreement ("Agreement") governs the use of internal software applications ("the Software") developed and operated by ProSolar Ltd ("ProSolar", "we", "us") for use by ProSolar staff and authorised personnel.

1. Scope

The Software comprises internal business applications operated solely for ProSolar Ltd, including stock management, project accounting, customer aftersales, quotation, referral processing, and related tools. The Software integrates with third-party services including Salesforce, Intuit QuickBooks Online, Google services, and solar monitoring platforms (including Sigenergy, SAJ, SolarMan, and Huawei) for the sole purpose of supporting ProSolar's internal business operations.

2. Licence Grant

ProSolar grants authorised users a non-exclusive, non-transferable, revocable licence to access and use the Software for legitimate ProSolar business purposes only. The Software is not licensed for use by parties outside ProSolar Ltd or its authorised contractors.

3. Permitted Use

You may use the Software solely to perform tasks within the scope of your role at ProSolar Ltd. Unauthorised access, redistribution, reverse engineering, or use of the Software for purposes other than ProSolar's internal operations is prohibited.

4. Data Access

The Software accesses and processes data from connected third-party systems (Salesforce, QuickBooks Online, Google services, solar monitoring platforms, and similar) under credentials and authorisations granted by ProSolar Ltd. By using the Software you acknowledge that data access is limited to what is necessary for the operation of the relevant application.

5. No Warranty

The Software is provided "as is" without warranty of any kind, express or implied. ProSolar makes no warranties regarding accuracy, fitness for a particular purpose, or uninterrupted operation. Users are responsible for verifying outputs (cost calculations, stock levels, commission figures, etc.) before relying on them for business decisions.

6. Limitation of Liability

To the maximum extent permitted by law, ProSolar Ltd shall not be liable for any indirect, incidental, or consequential losses arising from use of the Software. Liability under this Agreement is limited to direct losses and shall not exceed the cost of providing the Software, which for internal users is nil.

7. Modifications

ProSolar Ltd reserves the right to modify, suspend, or discontinue the Software at any time without notice. This Agreement may be updated; the current version is published at this URL.

8. Governing Law

This Agreement is governed by the laws of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the Irish courts.
